	To be an authorized affiliate of ECigaretteDirect.com, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the ECigaretteDirect.com service as an affiliate. By signing up for the ECigaretteDirect.com affiliate program, you indicate your acceptance of this agreement and its terms and conditions. E Cigarette Direct Affiliate Agreement This TERMS AND CONDITIONS AGREEMENT sets forth the agreement between ECigaretteDirect.co.uk, ("ECigaretteDirect.co.uk ", "we" or "us") and each affiliate marketer ("you", "Affiliate" or "Affiliates") governing the use by you of this site. Please read this agreement carefully before joining the ECigaretteDirect.co.uk Affiliate Program. By joining the ECigaretteDirect.co.uk Affiliate Program, you signify your assent to this Terms of Use agreement. If you do not agree to the terms and conditions contained in this Agreement, please do not join the ECigaretteDirect.co.uk Affiliate program. By joining the ECigaretteDirect.co.uk Affiliate Program and promoting our products you are agreeing to abide by following terms & conditions (rules) set forth below: Your Website: In order to successfully enrol into ECigaretteDirect.co.uk Affiliate Program: 1. Your (“Affiliate” or “Affiliates”) website does not contain down-loadable software, spy ware or marketing tactics that potentially divert or alter the commissions of ECigaretteDirect.co.uk other affiliates. An affiliate discovered to use such tactics will have all prior sales commissions reversed and Affiliate Account terminated by ECigaretteDirect.co.uk; 2. Your website does not promote offensive, violent and sexually explicit materials; 3. Your website does not promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age; 4. Your website has never engaged in illegal activities. 5. Your website does not sell/promote/advertise the sale of the electronic cigarette as a smoking cessation aid (also known as a quit smoking aid) or as to be used as nicotine replacement therapy, or make other claims currently forbidden by UK rules and regulations. An Affiliate website found to violate any one of the above mentioned terms will be terminated without prior notification. Approval We reserve the right to reject websites. This may be because the website is low quality, irrelevant to the product, contains porn or offensive language. Term of the Agreement Upon acceptance of an affiliate into the ECigaretteDirect.co.uk Affiliate Program, the Affiliate is bound by the terms and conditions set forth in this Agreement. Copyright ECigaretteDirect.co.uk website design, text, graphics, sound, software and other content, and the selection and arrangement thereof, are the property of ECigaretteDirect.co.uk and itslicensors , and are protected by English and international copyright law. All rights to such materials are reserved to their respective copyright owners. The Affiliate is granted permission to electronically copy and to print in hard copy portions of this Web site in addition to the link materials provided by ECigaretteDirect.co.uk for the sole purpose of promoting ECigaretteDirect.co.uk Affiliate Program or using this web site as a shopping vehicle. In the event the Affiliate uses ECigaretteDirect.co.uk content and materials for purposes other than noted above, modification, distribution, replication, commercial or other exploitation, or creation of derivative works, without the prior written permission of ECigaretteDirect.co.uk, is strictly prohibited. Trademarks In the event the Affiliate uses ECigaretteDirect.co.uk content and link materials for the sole purpose of promoting ECigaretteDirect.co.uk Affiliate Program, that the Affiliate to respect trademarks, service marks of ECigaretteDirect.co.uk and itslicensors. The ECigaretteDirect.co.uk Brand Name Integrity We restrict our Affiliates to use the ECigaretteDirect.co.uk brand name to engage in any of the following activities: • Use marketing tactics to mislead organizations and/or individuals; • Operate or utilise the Affiliate`s web site or email link to web sites that contain or promote libellous, defamatory, obscene, offensive, pornographic, abusive, violent, discrimination, racism, hate-oriented, illegal, cracking, hacking or spamming, or offer any illegal good or service; • Spamming, indiscriminate advertising, traffic exchange or unsolicited commercial email; • Cyber squatting or typo squatting; • Although Affiliates are welcomed to promote their own websites, any press release or promotion that mentions ECigaretteDirect.co.uk could be viewed as a joint effort. Consequently, any use of our name in advertisements, press releases or mailings must bepre-approved by ECigaretteDirect.co.uk. Please submit your proposal by email to Support@ECigaretteDirect.co.uk for review. As ECigaretteDirect.co.uk does not support or condone such activities, ECigaretteDirect.co.uk will not be held accountable by third parties for Affiliate(s) found to violate any one of the above mentioned terms. However, an Affiliate website found to violate any one of the above terms will be terminated without prior notification and will have all prior sales commissions with ECigaretteDirect.co.uk reversed. Commission Earning Structure ECigaretteDirect.co.uk offers affiliates the potential to earn 10% per month. An initial sign up bonus of GBP25 will also be paid after the affiliate has generated GBP25 in commission Payment Of Commissions 1. A ECigaretteDirect.co.uk Affiliate will earn 10% commission on each sale at ECigaretteDirect.co.uk as a result of a direct referral from the Affiliate`s site; 2. Commissions are calculated before shipping and VAT. 3. All commissions will be paid in GB Pounds Sterling; 4. Accumulated commissions minimum is £25 for a given payment period before a payment will be issued. If the commission minimum of £25 is not reached, we will retain the payment for the next quarter or until the minimum is reached; 5. Affiliate`s commission will be paid within a 30 days payment cycle, after the end of the quarter the sale was made (i.e., commissions made from quarter ending March sales will be paid on the 15th of May). Commission payments will be made to ECigaretteDirect.co.uk Affiliates via PayPal. Cheque may be payable to affiliates in the UK only; 6. Only sales commissions tracked and recorded by ECigaretteDirect.co.uk tracking software shall be eligible for payment. ECigaretteDirect.co.uk will not make payment of commissions not tracked or recorded through ECigaretteDirect.co.uk. 7. ECigaretteDirect.co.uk reserves the right to withhold any commissions it deems as fraudulent such as those being earned or obtained through the use of spy ware or any other commission altering software program. Tracking of Sales ECigaretteDirect.co.uk will be responsible for tracking Affiliate`s sales through special software and 90 days cookie technologies that reside within the linking materials provided. ECigaretteDirect.co.uk will do its best to ensure accurate tracking of sales referrals from the Affiliate through these means. The Affiliate will be responsible to ensuring that the linking materials provided used appropriately as instructed by ECigaretteDirect.co.uk to accurately track sales referred. The Affiliate also acknowledges that: 1. ECigaretteDirect.co.uk tracking system is not 100% fail-proof; 2. On occasions, the end-user`s (customer`s) actions, purposely or accidentally, and computer system`s performance or failure due to bugs, glitches or crashes that will inadvertently destroy our tracking codes employed; 3. You, the Affiliate failed to properly use our assigned linking materials; 4. Unexpected events that cause irretrievable data loss on the computers and back-up disk media that store the commission information; 5. Only sales commissions tracked and recorded by ECigaretteDirect.co.uk tracking software shall be eligible for payment. ECigaretteDirect.co.uk will not make payment of commissions not tracked or recorded through ECigaretteDirect.co.uk. Limitation of Liability ECigaretteDirect.co.uk shall not be held liable directly or indirectly for damages to Affiliate`s equipment and properties, loss of revenue or data arising from the marketing and promotion of ECigaretteDirect.co.uk Affiliate Program. ECigaretteDirect.co.uk will not be held responsible for or liable to claims, damages and expenses relating to the development, operation, maintenance, contents, marketing and promotions of the Affiliate`s web site. Failure of ECigaretteDirect.co.uk to strictly enforce the terms and conditions set forth in this Agreement shall not constitute a waiver of ECigaretteDirect.co.uk`s right to strictly enforce such provisions and future provisions of this Agreement in the future. ECigaretteDirect.co.uk reserves the right to make changes this Agreement as we see fit. We will make all reasonable efforts to notify Affiliate(s) of changes by email.
